1. About these terms
These Terms of Service govern access to and use of AGOSH, including the public AGOSH Network, authenticated workspaces, APIs, integrations, and related services. AGOSH is referred to as “AGOSH,” “we,” or “us” in these terms, and the person or organization using the Service is referred to as “you.”
By creating an account, connecting an organization, accepting an invitation, or using the Service, you agree to these terms. If you use the Service for an organization, you confirm that you have authority to accept these terms on its behalf.
2. Eligibility and accounts
You must be legally able to enter a binding agreement and must provide accurate, current information when you create or maintain an account. You are responsible for keeping login credentials and authentication devices secure, and for activity performed through your account.
Team access must be assigned only to people who are authorized to act for the relevant organization. Tell us promptly if you believe an account or integration has been accessed without permission.
3. The AGOSH business network
AGOSH provides software for business discovery, relationship management, records, approvals, workflow, communication, and related commercial operations. Unless we expressly state otherwise, AGOSH is not the buyer, seller, manufacturer, distributor, carrier, insurer, lender, or agent in a transaction between network participants.
Businesses using AGOSH are independent parties. You are responsible for evaluating counterparties, confirming product or service details, agreeing commercial terms, meeting legal and regulatory obligations, and resolving disputes arising from your relationship or transaction. Verification and reputation signals reduce risk but do not guarantee quality, performance, solvency, delivery, or compliance.
4. Your content and connected services
You retain ownership of information, listings, documents, messages, and other material that you submit to the Service. You give AGOSH the limited worldwide license needed to host, store, reproduce, display, transmit, analyze, and otherwise process that content to provide, secure, improve, and support the Service.
You may choose to connect third-party services, including accounting or payment services. When you connect one, you authorize AGOSH to access and use the data and permissions necessary for the feature you selected. The third party’s terms and privacy policy also apply. You can disconnect an integration through the available account controls, subject to records that must be retained for legal, security, audit, or transaction reasons.
5. Acceptable use
You may not use the Service to:
- break the law, facilitate fraud, launder money, evade sanctions, or infringe another person’s rights;
- misrepresent your identity, authority, products, services, certifications, prices, or trading history;
- upload malware, harmful code, unlawful material, or information that you do not have the right to share;
- probe, scan, disrupt, overload, reverse engineer, or attempt to gain unauthorized access to the Service or another account;
- scrape, copy, harvest, or commercially reuse network information except through an authorized AGOSH feature or API;
- use automated decisions or AI-generated output as a substitute for professional legal, accounting, financial, safety, or compliance judgment;
- use the Service to make a high-impact decision about a person where applicable law requires safeguards that you have not provided.
6. Fees, payments, and taxes
Some AGOSH capabilities may require payment. Any applicable price, billing interval, usage measure, trial condition, or cancellation rule will be shown before you purchase or enable the capability. You authorize the selected payment method for valid charges and are responsible for applicable taxes.
Commercial payments between network participants may be processed by third-party providers. AGOSH does not change the underlying terms agreed between those parties. You are responsible for checking invoices, payment instructions, refunds, chargebacks, and tax treatment before authorizing a payment.
7. AI and automation features
The Service may draft, summarize, classify, recommend, or route information using automated or AI-assisted features. Outputs can be incomplete, inaccurate, or unsuitable for your circumstances. Review outputs before relying on them or sending them to another person.
Automations run only within the permissions, conditions, and destinations configured for your organization, but you remain responsible for reviewing those configurations and the actions they produce. Do not use an AGOSH output as legal, accounting, tax, financial, medical, safety, or other professional advice.
8. Intellectual property
The Service, including its software, interfaces, design, documentation, trademarks, and underlying technology, belongs to AGOSH or its licensors. Subject to these terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business operations.
You may not copy, sell, sublicense, frame, or create a derivative service from AGOSH’s protected materials except with our written permission or where applicable law expressly allows it.
9. Suspension and termination
We may limit, suspend, or terminate access when reasonably necessary to protect the Service, users, network participants, confidential information, or the public; to comply with law or a provider requirement; or to address a breach of these terms. Where practical, we will provide notice and an opportunity to resolve the issue.
You may stop using the Service at any time and may request account closure through the available support channel. Provisions that should reasonably continue, including ownership, payment obligations, confidentiality, disclaimers, limitations of liability, and dispute provisions, survive termination.
10. Disclaimers and liability
To the maximum extent permitted by law, the Service is provided on an “as available” and “as is” basis. AGOSH does not promise that the Service will be uninterrupted, error-free, secure in every circumstance, or suitable for every business need. We disclaim warranties to the extent permitted by applicable law.
To the maximum extent permitted by law, AGOSH will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses, or for lost profits, revenue, data, goodwill, or business opportunity. Nothing in these terms excludes liability that cannot legally be excluded or limited.
11. Changes and contact
We may update these terms as the Service changes or legal requirements develop. If a change is material, we will provide reasonable notice through the Service or another appropriate channel. Continuing to use the Service after the effective date means you accept the updated terms.
